MANAGEMENTDISCUSSIONANDANALYSIS CONSOLIDATEDRESULTS Forthesixmonthsended30September2022,theGrouprecordedarevenueofapproximatelyHK$519.6millioncomparedtoarevenueofapproximatelyHK$24.5millionforthecorrespondingperiodof2021,representingaincreaseofrevenueofapproximately2020.8%,andrecordedaprofitofapproximatelyHK$80.4millioncomparedtoalossofapproximatelyHK$8.8millionforthecorrespondingperiodof2021.Thesignificantincreaseinprofitwasprimarilyduetothe1)implementationofvariousmeasuresoncostcontrolandonreductionofexpenditures;and2)recognitionofrevenueofpropertydevelopmentbusinessduringtheperiodended30September2022. TheBoardconsidersthatthefairvaluelossoninvestmentpropertiesarenon-cashitemsandhasnoeffectonthecashflowoftheGroup’soperations. 中国唐商控股有限公司(“本公司”)董事(“董事”)会(“董事会”)欣然公布本公司及其附属公司(统称“本集团”)截至二零二二年九月三十日止六个月之未经审核中期简明综合业绩。本集团截至二零二二年九月三十日止六个月之未经审核简明综合全面收益表、综合权益变动表及综合现金流量表及本集团于二零二二年九月三十日之综合财务状况表,连同选定之说明附注载于本报告第20至52页。 管理层讨论及分析 综合业绩 截至二零二二年九月三十日止六个月,本集团录得收益约519,600,000港元,较二零二一年同期收益约24,500,000港元增加约2020.8%,同时录得溢利约80,400,000港元,而二零二一年同期则为亏损约8,800,000港元。溢利大幅增加主要由于1)实施多项成本控制措施及开支减少;及2)截至二零二二年九月三十日止期间确认物业发展业务之收益。 董事会认为,投资物业之公平价值亏损为非现金项目,及对本集团业务之现金流量并无影响。 InterimReport2022二零二二年中期报告1 中国唐商控股有限公司 CHINATANGSHANGHOLDINGSLIMITED BUSINESSREVIEW PROPERTYSUB-LEASINGANDINVESTMENTBUSINESS Forthesixmonthsended30September2022,thisbusinesssegmentrecordedarevenueofapproximatelyHK$28.3millioncomparedtoarevenueofapproximatelyHK$24.5millionforthecorrespondingperiodin2021,representinganincreaseofrevenueofabout15.5%,andrecordedaprofitofapproximatelyHK$1.0millionascomparedtoaprofitofapproximatelyHK$2.0millionforthecorrespondingperiodof2021.Thedecreaseintheprofitwasmainlyduetothedecreaseoffairvalueoninvestmentproperties. PROPERTYDEVELOPMENTBUSINESS Duringtheperiodended30September2022,thepropertydevelopmentbusinessinthePRCcontributedrevenueofapproximatelyHK$491.3million(2021:nil)andsegmentrecordedprofitofapproximatelyHK$113.6million(2021:lossofapproximatelyHK$5.3million)totheGroup.Theincreaseinsegmentrevenuewasattributabletotheincreaseofbookedgrossfloorarea(“GFA”)deliveredtothepropertyownersduringtheperiod,whichwascontributedfromtheGroup’scompletedpropertydevelopmentprojects,namely,TangshangHanlinMansion*(唐商翰林居)inDongguanlandsituatesatCaoleVillage,XiegangTown,DongguanCity,thePRCdesignatedforurbanresidentialuseandbusinessserviceuse(R2ClassIIresidentialland(R2二类居住用地)).TheconstructionofthepropertywascompletedinDecember2021,therewereapproximately27,377.5sq.m.bookedGFAdeliveredandrecognisedintotherevenueduringtheperiod.ThecompletedpropertiesareheldforsaleandthemanagementexpectspartoftheremainingGFAwillrecogniseinthisfinancialyear.TheGroupwillremainproactiveinreviewingitspaceofbusinessexpansiontomaintainthisbusinessandachievesustainablegrowthoftheGroup,themanagementmayadjustitsprojectdevelopmentplansandschedulesinresponsetochangingmarketconditions,asandwhenappropriate. 业务回顾 物业分租及投资业务 截至二零二二年九月三十日止六个月,本业务分类录得收益约28,300,000港元,较二零二一年同期收益约24,500,000港元增加约15.5%,同时录得溢利约1,000,000港元,而二零二一年同期为溢利约2,000,000港元。溢利减少主要由于投资物业之公平价值减少所致。 物业发展业务 截至二零二二年九月三十日止期间,中国之物业发展业务为本集团贡献收益约491,300,000港元(二零二一年:无)及分类录得溢利约113,600,000港元(二零二一年:亏损约5,300,000港元)。分类收益增加乃归因于期内交付予业主的已入账建筑面积(“建筑面积”)增加,此乃由于本集团位于中国东莞市谢岗镇曹乐村之东莞土地的已竣工物业发展项目唐商翰林居,指定作城市住宅用途及商业服务用途(R2二类居住用地)。该物业之建造已于二零二一年十二月完成,期内已交付约27,377.5平方米的已入账建筑面积并确认为收益。已竣工物业持作出售,管理层预期部分余下建筑面积将于本财政年度确认。本集团将继续积极检讨其业务扩张步伐,以维持该业务并实现本集团之可持续增长。管理层可能于适当时候调整其项目发展计划及时间表,以应对不断变化的市况。 2CHINATANGSHANGHOLDINGSLIMITED中国唐商控股有限公司 中国唐商控股有限公司 CHINATANGSHANGHOLDINGSLIMITED FINANCIALSERVICESBUSINESS MONEYLENDING Forthesixmonthsended30September2022and2021,nomoneylendingbusinesswasengagedandnocorrespondinginterestincomewasrecognisedbytheGroup.Themanagementwouldcontinuetofindnewopportunityforthissegment. SECURITIES,FUTURESANDASSETMANAGEMENT TheGroupreturnedType1(dealinginsecurities),Type 2(dealinginfuturescontracts),Type4(advisingonsecurities)andType9(assetmanagement)licensestoSecuritiesandFuturesCommission(“SFC”)bySFCinNovember2020asnosuitablebusinessopportunitieshavebeenidentified.ThemanagementwouldliketofocusmoreontheotherbusinesssegmentsoftheGroup.
