MANAGEMENTDISCUSSIONANDANALYSIS CONSOLIDATEDRESULTS Forthesixmonthsended30September2023,theGrouprecordedarevenueofapproximatelyHK$784.2millioncomparedtoarevenueofapproximatelyHK$519.6millionforthecorrespondingperiodof2022,representinganincreaseofrevenueofapproximately50.9%,andrecordedaprofitofapproximatelyHK$100.3millioncomparedtoaprofitofapproximatelyHK$80.4millionforthecorrespondingperiodof2022.Theincreaseinprofitwasprimarilyduetothe1)implementationofvariousmeasuresoncostcontrolandonreductionofexpenditures;and2)recognitionofrevenueofpropertydevelopmentbusinessduringtheperiodended30September2023. 中国唐商控股有限公司(“本公司”)董事(“董事”)会(“董事会”)欣然公布本公司及其附属公司(统称“本集团”)截至二零二三年九月三十日止六个月之未经审核中期简明综合业绩。本集团截至二零二三年九月三十日止六个月之未经审核简明综合全面收益表、综合权益变动表及综合现金流量表以及本集团于二零二三年九月三十日之综合财务状况表,连同选定之说明附注载于本报告第18至48页。 管理层讨论及分析 综合业绩 截至二零二三年九月三十日止六个月,本集团录得收益约784,200,000港元,较二零二二年同期收益约519,600,000港元增加约50.9%,同时录得溢利约100,300,000港元,而二零二二年同期则为溢利约80,400,000港元。溢利增加主要由于1)实施多项成本控制措施及开支减少;及2)截至二零二三年九月三十日止期间确认物业发展业务之收益。 InterimReport2023二零二三年中期报告1 中国唐商控股有限公司 CHINATANGSHANGHOLDINGSLIMITED BUSINESSREVIEW PROPERTYSUB-LEASINGANDINVESTMENTBUSINESS Forthesixmonthsended30September2023,thisbusinesssegmentrecordedarevenueofapproximatelyHK$20.7millioncomparedtoarevenueofapproximatelyHK$28.3millionforthecorrespondingperiodin2022,representingadecreaseofrevenueofabout26.9%,andrecordedalossofapproximatelyHK$24.4millionascomparedtoaprofitofapproximatelyHK$1.0millionforthecorrespondingperiodof2022.Theshiftfromprofittolosswasmainlyduetothedecreaseoffairvalueoninvestmentproperties. PROPERTYDEVELOPMENTBUSINESS Duringtheperiodended30September2023,thepropertydevelopmentbusinessinthePRCcontributedrevenueofapproximatelyHK$763.5million(2022:HK$491.3million)andsegmentrecordedprofitofapproximatelyHK$87.6million(2022:profitofapproximatelyHK$113.6million)totheGroup.Theincreaseinsegmentrevenuewasattributabletotwodevelopmentprojects,namelyTangshangHanlinMansion*(唐商翰林居)inDongguanlandsituatesatCaoleVillage,XiegangTown,DongguanCity,thePRCandPuningTangshangZhongyangGarden*(普宁唐商中央花园)inBeihuanAvenue,Puning,Jieyang,GuangdongProvince,thePRC.TheGrouphadacquiredthetotalissuedsharecapitalofReachGloryHoldingsLimited,acompanyisindirectlyhold70%equityinterestintheprojectcompanyPuningHuachuangwenIndustrialDevelopmentCo.,Ltd.,andcompletedtheverysubstantialacquisitionandconnectedtransactionin 10March2023.TheconstructionofPuningTangshangZhongyangGardenwascompletedin2022,Asat30September2023,therewereapproximately54,407.27sq.m.bookedGFAdeliveredandrecognisedintotherevenue.ThecompletedpropertiesareheldforsaleandthemanagementexpectspartoftheremainingGFAwillrecogniseinfuture. 业务回顾 物业分租及投资业务 截至二零二三年九月三十日止六个月,本业务分类录得收益约20,700,000港元,较二零二二年同期收益约28,300,000港元减少约26.9%,同时录得亏损约24,400,000港元,而二零二二年同期为溢利约1,000,000港元。由盈转亏主要由于投资物业之公平价值减少所致。 物业发展业务 截至二零二三年九月三十日止期间,中国之物业发展业务为本集团贡献收益约763,500,000港元(二零二二年: 491,300,000港元)及分类录得溢利约 87,600,000港元(二零二二年:溢利约 113,600,000港元)。分类收益增加乃由于两项开发项目,即位于中国东莞市谢岗镇曹乐村之东莞土地的唐商翰林居,以及位于中国广东省揭阳市普宁市北环大道的普宁唐商中央花园。本集团已收购致荣控股有限公司(一间间接持有项目公司普宁华创文实业开发有限公司70%股权的公司)的全部已发行股本,并于二零二三年三月十日完成非常重大收购事项及关连交易。普宁唐商中央花园已于二零二二年竣工,于二零二三年九月三十日,已交付及确认为收益的已入账建筑面积约为54,407.27平方米。已竣工物业持作出售,管理层预期部分余下建筑面积将于日后确认。 2CHINATANGSHANGHOLDINGSLIMITED中国唐商控股有限公司 中国唐商控股有限公司 CHINATANGSHANGHOLDINGSLIMITED FINANCIALSERVICESBUSINESS MONEYLENDING Forthesixmonthsended30September2023and2022,nomoneylendingbusinesswasengagedandnocorrespondinginterestincomewasrecognisedbytheGroup.Themanagementwouldcontinuetofindnewopportunityforthissegment. SECURITIES,FUTURESANDASSETMANAGEMENT TheGroupreturnedType1(dealinginsecurities),Type 2(dealinginfuturescontracts),Type4(advisingonsecurities)andType9(assetmanagement)licensestoSecuritiesandFuturesCommission(“SFC”)bySFCinNovember2020asnosuitablebusinessopportunitieshavebeenidentified.ThemanagementwouldliketofocusmoreontheotherbusinesssegmentsoftheGroup. PROSPECTS TheGroupcurrentlyattainedamacroeconomicchallengesinceChina’srealestatemarkethasenteredintoanewformof“significantchangesbetweensupplyanddemand”.Thepropertymarkethasexperiencedarapiddecline,andtheindustryisfacingenormouschallenges.TheGroupwilladoptamoreprudentoperationstrategy,enhancetheefficiencyofmanagementandcontrol.TheGroupwillalsocontinuetostrengthenoursaleseffortsintermsofoperation,proactivelyfundsespeciallyinthecitieswithincentivepolicies,andactivelygraspthewindowofopportun
