Vietnam-styleRestaurantBusiness DuringthePeriod,theGroupoperatedVietnamese-stylerestaurantsunder“Viet’sChoice(越栈)”brandandfullmenuVietnamese-stylecasualdiningrestaurantunder“FiveSpice(5越)”brandinHongKong. ReferenceismadetotheCompany’sannouncementdated27April2023,theCompanyenteredintoasaleandpurchaseagreementwithanindependentthirdpartyinrespectofthedisposaloftheentireequityinterestsofProsperityOneLimitedanditssubsidiaries(the“DisposalGroup”)(the“Disposal”),whichisprincipallyengagedinVietnamese-stylerestaurantbusiness,atanaggregateconsiderationofHK$31,000,000.UponcompletionoftheDisposalon27April2023,theGroupceaseditsVietnamese-stylerestaurantbusiness. TherestaurantoperationinHongKonghasbeenmateriallyadverselyaffectedbytheoutbreakofCOVID-19,withthenegativemarketsentiment,localconsumers’lowinclinationtodineoutandkeencompetitioninthefoodandbeverageindustryinHongKong,itisexpectedthattheVietnamese-styleRestaurantBusinessmaynothaveasignificantimprovementinitsbusinessperformanceinneartomedium-term.Assuch,themanagementconsidersthatitisagoodopportunitytodisposeoftheVietnamese-styleRestaurantBusinessatareasonableprice.Yet,themanagementisstillexploringfornewopportunitiesinthefoodandbeverageindustryandmaycontinueitsfoodandbeveragebusinessshouldsuitableopportunitiesarise. TradingBusiness DuringthePeriod,awhollyownedsubsidiary,民商创科（宁波）电子商务有限公司(“MinshangNingbo”)inthePeople’sRepublicofChina(the“PRC”),positioneditselfinB2Bbusinesswithafocusonoffering3Celectronicproducts,frozenfoodsandgrain&oilproducts.MinshangNingbosourcedfrommanufacturersorwholesalerslocatedinthePRCandsoldtodistributors. 管理层讨论及分析 业务回顾 于截至2023年9月30日止六个月（“本期间”），民商创科控股有限公司（“本公司”，连同其附属公司统称 “本集团”）有以下主要业务：(i)越式餐厅业务；(ii)贸易业务；及(iii)信息科技（“信息科技”）解决方案业务。 越式餐厅业务 于本期间，本集团于香港以“越栈”品牌经营越式餐厅及以“5越”品牌经营全餐牌越式休闲餐饮餐厅。 兹提述本公司日期为2023年4月27日的公告，本公司与一名独立第三方就出售ProsperityOneLimited及其附属公司（“出售集团”，主要从事越式餐厅业务）的全部股权（“出售事项”）订立买卖协议，总代价为31,000,000港元。于出售事项于2023年4月27日完成后，本集团不再经营其越式餐厅业务。 COVID-19疫情下，市场气氛低迷，本地消费者外出用餐的意愿较低，加上香港餐饮业竞争激烈，令香港餐厅营运受到重大不利影响。越式餐厅业务的表现在中短期内预期不会有显着改善。因此，管理层认为，此乃以合理价格出售越式餐厅业务的良机。然而，管理层仍正在探索餐饮业新机遇，倘出现合适机会，或会继续从事餐饮业务。 贸易业务 于本期间，位于中华人民共和国（“中国”）的全资附属公司民商创科（宁波）电子商务有限公司（“民商宁波”）以B2B业务为定位，专注于提供3C电子产品、冷冻食品以及粮油产品。民商宁波自位于中国的生产商或批发商采购后向分销商销售。 4MinshangCreativeTechnologyHoldingsLimitedInterimReport2023 MinshangNingbomadeitsprocurementandsalesaccordingtomarkettrendsandneeds,suchasthenewlyreleasednew
