Cantor Fitzgerald Income Trust, Inc. (the “Company,” we,” “us,” or “our”), is a Maryland corporation that has elected to be taxed as a real estate investment trust (“REIT”)beginning with the taxable year ended December31, 2017. We are externally managed by our advisor, Cantor Fitzgerald Income Advisors, LLC, a Delaware limited liabilitycompany (our “advisor”) which is a wholly-owned subsidiary of our sponsor, Cantor Fitzgerald Investors, LLC (our “sponsor”). Our advisor and our sponsor are affiliated withCantor Fitzgerald, L.P. (“Cantor”), a diversified organization specializing in financial services and real estate for institutional customers operating in the global financial andcommercial real estate markets. We expect to use substantially all of the net proceeds from this offering to acquire a diversified portfolio of income-producing commercial andmultifamily properties, as well as other real estate-related assets. We are offering on a continuous basis up to $1,250,000,000 in shares of common stock, consisting of up to $1,000,000,000 in shares in our primary offering and up to$250,000,000 in shares pursuant to our distribution reinvestment plan. We are offering to sell in any combination of four classes of shares of our common stock: ClassT commonstock (“ClassT shares”), ClassS common stock (“ClassS shares”), ClassD common stock (“ClassD shares”) and ClassI common stock (“ClassI shares”), with a dollar value upto the maximum offering amount. The share classes have different upfront selling commissions and dealer manager fees, and different ongoing distribution fees. Each class ofshares will be sold at the then-current “transaction price,” plus applicable upfront selling commissions and dealer manager fees. The “transaction price” generally will be equal tothe most recently determined net asset value (“NAV”) per share for such class, as determined on a monthly basis, however, we may offer shares at a price that we believe reflectsthe NAV per share of such stock more appropriately than the prior month’s NAV per share, including by updating a previously disclosed transaction price, in cases where webelieve there has been a material change (positive or negative) to our NAV per share since the end of the prior month. This is a “best efforts” offering, which means that CantorFitzgerald& Co., the dealer manager for this offering, will use its best efforts to sell shares, but is not obligated to purchase or sell any specific amount of shares in this offering. Although we do not intend to list our shares of common stock for trading on an exchange or other trading market, in an effort to provide our stockholders with liquidity inrespect of their investment in our shares, we have adopted a share repurchase program whereby, subject to certain limitations, stockholders may request on a monthly basis that weredeem all or any portion of their shares. We may choose to redeem all, some or none of the shares that have been requested to be repurchased at the end of any particular month, inour discretion, not to exceed any limitations in the share repurchase program. The repurchase price per share for each class of common stock will equal the transaction price,subject to applicable reduction for early repurchase.
