Box 1586,Gradenia Court, Camana Bay,Grand Cayman, KY1-1100Cayman Islands 香港夏愨道16號遠東金融中心17樓 HONG KONG BRANCH REGISTRAR Tricor Standard Limited17th Floor,Far East Finance Centre,No. 16 Harcourt Road, Hong Kong MANAGEMENT DISCUSSION AND ANALYSIS 管理層討論與分析 BUSINESS REVIEW For the year ended 31 March 2023, UBA Investments Limited and itssubsidiaries (the “Group”) recorded a loss of approximately HK$14.4million(2022:HK$0.13 million)made up of realised and unrealisedloss of HK$0.55 million and HK$11.9 million respectively in relation tothe listed securities (2022: realised gain and unrealised loss of HK$0.7million and HK$2.4 million respectively), and unrealised loss of HK$0.9million in relation to the unlisted equity investment (2022: unrealisedgain of HK$1.85 million). The loss per share was HK$0.0113 (2022:HK$0.0001). 開明投資有限公司及其附屬公司（「本集團」）截至二零二三年三月三十一日年度止，本集團股東應佔虧損約為14,400,000港元（二零二二年：約為130,000港元），其中關於按上市證券的變現及未變現虧損分別約為550,000港元及11,900,000港元（二零二二年：變現收益及未變現虧損分別約為700,000港 元 及2,400,000港 元），而 關 於 非 上市股本投資的未變現虧損約為900,000港元（二零二二年：未變現收益約為1,850,000）。每股虧損為0.0113港元（二零二二年：0.0001港元）。 Gross proceeds from disposal of trading securities increased by 100%from HK$10.4 million to HK$20.9 million and the Group made someyield enhancement swap investment under the present uncertainty ofthe macroeconomic environment which was mainly affected by interestrate hike in the U.S. during the year. Also, we would like to minimizepotential loss from these highly volatile stock markets, as the Groupmust be prudent and maintain those high yield blue chip securities inorder to generate dividends for operations and sufficient funds to meetcoming investment opportunities. Therefore, it was not in line with thedecreasing market turnover of approximately 19% in the Hang SengIndex (“HSI”) compared with that of last year. As at 31 March 2023, thenet asset value decreased by 14% from HK$104.6 million to HK$90.1million, in line with the decrement of 7% of the HSI during this year. 出 售 交 易 證 券 所 得 款 項 總 額 由 去 年 同 期 約10,400,000港 元 上 升100%至 約20,900,000港元，主要因為受美國加息影響的宏觀經濟環境不明 朗 情 況 下，本 集 團 曾 進 行 一 些 增 加 回 報 的 交易 互 換 投 資。而 且 為 了 最 大 程 度 地 減 少 受 高 波動 性 股 票 市 場 產 生 的 潛 在 損 失，本 集 團 須 謹 慎行事，並保留更多的高息和藍籌上市證券，以便產 生 足 夠 的 股 息 收 入 作 為 營 運 用 途 並 為 未 來 的投資機會提供足夠的資金。因此，與恆生指數同期下跌約19%的交易量不同。截至二零二三年三月三十一日，淨資產比去年約104,600,000港元下跌約14%至約90,100,000港元，與恆指下跌約7%相若。 Throughoutthe corresponding period,the global and local equitymarketshad experienced intense volatility.The Group’s proactiveinvestment strategy was to maximize profit for shareholders, throughinvestment in listed securities with relatively high yield, especially thebankingand telecommunications sectors which contributed 80%individendincome from all dividend generated from listed securitiesinvestment
