FullyExemptConnectedTransactioninrelationtotheAcquisitionofAsiastar On29March2022,theCompanyenteredintoanagreementwithChiCapitalHoldingsLtd(“CCH”orthe“Vendor”),pursuanttowhichtheCompanyagreedtoacquireandtheVendoragreedtosellacompletegeostationarysatellitesystemoperatingoverAsiafortheconsiderationofHK$1.00(the“AcquisitionofAsiastar”). AsatthedateoftheagreementinrelationtotheAcquisitionofAsiastar,theVendoriswhollyownedbyMr.WongChauChi(“Mr.Wong”)(anexecutivedirectoroftheCompany),andownsapproximately74.64%oftheissuedsharesoftheCompany.Hence,theVendorisaconnectedpersonoftheCompanypursuanttotheRules(the“ListingRules”)GoverningtheListingofSecuritiesonTheStockExchangeofHongKongLimited(the“StockExchange”).TheAcquisitionofAsiastarshallthereforeconstituteconnectedtransactionsfortheCompany.
